Other Events
On October 31, 2013, LifeVantage Corporation (the “Company”) issued a press release announcing the final results of its recently completed tender offer in which the Company offered to purchase for cash up to $40 million in value of shares of its common stock (the "Offer"). A copy of the Company’s press release is attached as Exhibit 99.1 to this report and incorporated by reference.

LifeVantage Corporation Announces Final
Results of Self Tender Offer
Salt Lake City, Utah, October 31, 2013 – LifeVantage Corporation (Nasdaq: LFVN), a company dedicated to helping people achieve healthy living through a combination of a compelling business opportunity and scientifically validated products, today announced the final results of its modified Dutch auction tender offer for up to $40 million in value of its common stock, which expired at 5:00 p.m., New York City time, on Friday, October 25, 2013. In accordance with the terms and conditions of the tender offer, the Company has accepted for purchase an aggregate of 16,326,530 shares of its common stock at a purchase price of $2.45 per share, for an aggregate cost of approximately $40 million. These shares represent approximately 13.9% of the Company’s outstanding shares of common stock as of September 13, 2013.
The depositary informed the Company that 20,026,222 shares of the Company’s common stock were properly tendered and not properly withdrawn at the purchase price of $2.45 per share. Because more than $40 million in value of common stock was properly tendered and not properly withdrawn, the tender offer was oversubscribed. As a result, pursuant to the terms of the tender offer, shares will be accepted on a pro rata basis. The final proration factor for the tender offer is approximately 81.53%. The Company will promptly pay for the shares accepted for purchase, and any shares tendered and not purchased will be returned to tendering shareholders promptly thereafter.
