PART III - NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
LifeVantage Corporation (the “Company”) is unable to file its Quarterly Report on Form 10-Q for the quarter ended September 30, 2016 (the “Form 10-Q”) prior to the filing deadline. As previously disclosed, the Audit Committee of the Company's Board of Directors is conducting an independent review of sales of the Company’s products into certain international markets, not including Japan, and the determination of revenue and the deductibility of commission and incentive expenses associated with such sales, as well as the policies and procedures related to sales in those specific markets. The Audit Committee, working with independent counsel it has retained, is working diligently to address the situation. Once complete, the Company intends to file the Form 10-K for the fiscal year ended June 30, 2016 and the Form 10-Q with the SEC as soon as reasonably practicable.

*  Because of the independent review regarding sales into certain international markets and the revenue and income tax accruals associated with such sales as further discussed in Part III above, the Company has not checked either box in Part IV subsection 3, as it is not possible at this time for the Company to determine whether any significant change in results of operations from the corresponding period for the last fiscal year will be reflected in the earnings statements to be included in the Form 10-Q.
